NextDyne Terms of Service

BY ACCESSING OR USING THE NEXTDYNE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM.
SECTION 10 GOVERNS HOW DISPUTES BETWEEN YOU AND NEXTDYNE ARE RESOLVED. WITH LIMITED EXCEPTIONS, IT REQUIRES BINDING AND FINAL ARBITRATION AND INCLUDES CLASS ACTION AND JURY TRIAL WAIVERS. PLEASE READ SECTION 10 CAREFULLY.
These Terms of Service (“TOS” or “Terms”) are a legal agreement between you and The Athlete Sports Exchange LLC, a Delaware limited liability company (“we,” “us,” “our,” or “NextDyne”). Our registered address is 8 The Green, Ste B, Dover, DE 19901.
These Terms govern your access to and use of the NextDyne platform, including our website (nextdyne.io), mobile and web applications, and related services (collectively, the “Services”). The Services provide tools for creating, managing, and playing in season-long fantasy football leagues, including league administration, scoring, rosters, drafts, trades, and optional dues collection and prize payout facilitation between league members.
These Terms incorporate our Privacy Policy by reference. We may update these Terms as described in Section 13. Your continued use of the Services after changes become effective constitutes acceptance.
1. Eligibility
To use the Services, you must:
- Be at least 18 years old.
- Be physically located in a jurisdiction where participation in the Services, including dues collection or prize payout features, is legal.
- Be a legal resident of the United States with a valid U.S. address if using dues collection or prize payout features.
- Not be on a government exclusion list or subject to sanctions.
- Not create multiple Accounts to gain an unfair advantage within a single league, including controlling more than one team without disclosure to and approval from the league commissioner.
Availability may vary by state or jurisdiction. We may require proof of eligibility, including government-issued identification, in connection with dues collection or prize payouts. A violation may result in account suspension or termination, treatment of pooled funds as permitted by law and these Terms, and legal reporting when required.
2. Accounts
You must create an account (“Account”) using accurate, current, and complete information, including your name and email address and, when participating in a league using dues collection, payment details. You agree to keep this information current.
- You may create only one Account per person.
- You are responsible for your Account credentials and must promptly report unauthorized use.
- We may refuse registration or suspend or terminate Accounts for suspected fraud, abuse, or a violation of these Terms.
- Accounts may not be sold, rented, shared, or transferred. League seats may be transferred only by the commissioner through the Services, subject to Section 3.
By creating an Account, you represent that the information you provide is true and that you will comply with these Terms.
3. Dues, Escrow, and Payouts
A league commissioner may configure season dues and an optional persistent multi-season prize fund. Participation in dues collection is optional and configured per league; leagues may operate without dues.
Dues collection processing fee
Payments are processed through Stripe Connect or equivalent multi-party payment infrastructure using payment methods Stripe supports. Each dues payment is subject to a NextDyne processing fee equal to 3% of the league dues and multi-season fund contribution, if any. This fee is added to the member’s payment and is not deducted from the league prize pool. It is separate from the payout processing fee described below.
Platform fee
A per-player platform fee applies at the rate locked for the league’s founding cohort when the league is created ($2.00, $2.50, or $3.00 per rostered player, depending on cohort). That rate does not change for the life of the league. The commissioner is exempt from the per-seat platform fee but not from league dues or the processing fee and remains eligible for prizes on the same basis as other members.
Deadline and late payments
Dues are due by 11:59 PM ET on the Sunday of Week 2 of the NFL season unless the commissioner configures a different deadline. A $10 late fee applies for each two-week period a payment remains outstanding. The late fee is split evenly between the league pool and NextDyne. A league whose members all pay on time may receive a flat pool credit based on league size, as stated on that league’s rules page.
Non-payment
If a member does not pay by the deadline, the commissioner may extend a grace period while late fees continue to accrue; remove the member and invite a replacement who inherits the roster unchanged; or, after a grace period, allow the member to continue without payment, in which case the team is ineligible for that season’s playoffs regardless of record.
Chargebacks
A reversed payment is treated separately from an ordinary late payment. NextDyne may, at the commissioner’s discretion, immediately remove the affected member without the usual grace period and may restrict the Account from future dues-collecting leagues.
Refunds
If a member is removed and replaced before the season’s first game, NextDyne will refund that member’s league dues and processing fee, but not the per-seat platform fee, to the original payment method. No refunds are issued after the season’s first game has been played because those funds are committed to the season pool.
Payouts
At season end, at a configured prize milestone, or when a multi-season fund’s trigger is satisfied, pooled funds are distributed under the payout structure configured by the commissioner and published on the league rules page. Multi-season funds that roll over remain in the applicable league pool and are not treated as payouts.
Payouts remain tentative until league results are verified, the commissioner confirms the payout plan, available league funds are reconciled, and any required identity, eligibility, tax, or payment-provider review is complete. NextDyne may delay, correct, reverse, or withhold a payout as reasonably necessary to address scoring corrections, disputes, chargebacks, fraud, legal requirements, or payment-provider restrictions.
Payout processing fee
Each prize distribution is subject to a NextDyne payout processing fee equal to 3% of the recipient’s gross award. The fee is deducted from the award before funds are transferred to the recipient and is retained by NextDyne. For example, a $250.00 gross award is subject to a $7.50 payout processing fee, resulting in a $242.50 net award before any required tax withholding or other legally required adjustment.
When a prize pool is distributed among multiple recipients, NextDyne may apply reasonable cent-level rounding so that the aggregate payout processing fee equals 3% of the gross amount distributed. No payout processing fee applies while a multi-season fund is rolled over; the fee applies when that fund is distributed. Gross award, payout processing fee, and net award amounts will be shown in the payout plan or transaction history.
Recipient onboarding and delivery
To receive a payout, a recipient must complete Stripe Connect or equivalent recipient onboarding, provide an eligible external payout account, and satisfy applicable identity, tax, sanctions, and payment-provider requirements. Paying league dues does not by itself establish payout eligibility or a payout destination. If a recipient does not complete these requirements, delivery may be delayed until the requirements are satisfied or the payout is otherwise resolved under the league rules and applicable law.
A transfer to a recipient’s connected payment account and the later payout to the recipient’s bank account or debit card are separate processing steps. Delivery timing may vary and is subject to Stripe or the applicable payment provider.
Segregated funds and taxes
League dues and prize pool funds are tracked and reconciled in separate league-season and multi-season pool ledgers and are not treated as NextDyne operating revenue or used for NextDyne operating expenses before authorized distribution. You are responsible for taxes on winnings. We may issue applicable tax forms or withhold taxes as required by law.
Dues and payout transactions are subject to applicable anti-money-laundering and know-your-customer requirements.
4. Fantasy Leagues and Platform Mechanics
The Services allow users to create and join season-long fantasy football leagues with scoring, roster construction, draft format, trade rules, and other settings configured by each league’s commissioner within the options the Services provide.
Player statistics, projections, and related data may come from third-party providers. We do not warrant the accuracy, completeness, or timeliness of this data. Final scoring and standings are determined under the league’s configured rules and the data available when calculated and may change when the source data is corrected.
Projections, value scores, rankings, and similar analysis are informational tools only. They do not guarantee future performance and should not be the sole basis for any decision, including a decision involving money.
You may not collude to manipulate trades, waiver claims, lineup decisions, or league outcomes; use unauthorized automation; secretly control multiple teams in one league; or manipulate a league, trade, draft, or payout. Violations may result in league removal, treatment of pooled funds as permitted by law and these Terms, and Account termination.
5. Legal Characterization of the Services
NextDyne provides software and payment-facilitation tools for season-long fantasy football leagues. League commissioners configure league rules, dues, and payout structures; league members select and manage their own fantasy teams. NextDyne does not guarantee league outcomes, winnings, or the availability of dues and payout features in every jurisdiction.
Dues collection and payout features are available only where NextDyne determines they may lawfully be offered and may be limited, suspended, or discontinued to comply with applicable law, payment-provider requirements, or regulatory obligations.
6. Intellectual Property
The Services, including their content, logos, software, and features (“Content”), are owned by NextDyne or its licensors and protected by intellectual-property laws. You receive a limited, non-exclusive, revocable license to access the Services for personal use. You may not copy, modify, distribute, or reverse-engineer Content without our written consent except as permitted by law.
By submitting user-generated content, including league names, rosters, or trade proposals, you grant us a non-exclusive, royalty-free license to use, reproduce, and display it to operate and promote the Services.
7. User Conduct and Prohibited Activities
You agree not to:
- Use the Services illegally or in violation of applicable law.
- Engage in fraud, money laundering, or unauthorized transactions.
- Use unauthorized scripts, bots, or multiple Accounts for an unfair advantage.
- Harass, threaten, or impersonate another person.
- Manipulate league outcomes, trades, waivers, drafts, or payouts.
- Access or attempt to access another user’s Account without authorization.
We may monitor activity and cooperate with law enforcement. Violations may result in Account termination and legal action.
8. Termination and Suspension
We may suspend or terminate an Account, with or without notice, including for a violation of these Terms. Pooled funds owed through an active league will be handled under Section 3 where applicable. We may retain funds necessary to cover outstanding obligations arising from your conduct to the extent permitted by law.
9. Disclaimers and Limitations of Liability
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not guarantee the accuracy of player statistics, projections, scoring, or other third-party data. We are not responsible for league outcomes, payout amounts, or prize distributions, which depend on each league’s rules and contributed funds.
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages arising from the Services, even if advised of the possibility. Our total liability will not exceed the fees you paid to NextDyne, excluding funds passed through to a league pool, in the 12 months before the claim.
You agree to indemnify and hold NextDyne harmless from claims, losses, or damages arising from your use of the Services or violation of these Terms.
10. Dispute Resolution and Arbitration
IMPORTANT: THIS SECTION AFFECTS YOUR LEGAL RIGHTS.
Except for disputes eligible for small-claims court or claims for injunctive relief concerning misuse of intellectual property, disputes arising from these Terms or the Services will be resolved through binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court.
Arbitration will be individual only; class, collective, and representative actions are waived. The arbitrator’s decision is final and binding. You and NextDyne waive the right to a jury trial. The Federal Arbitration Act governs this section.
You may opt out of arbitration within 30 days after first accepting these Terms by mailing written notice to The Athlete Sports Exchange LLC, 8 The Green, Ste B, Dover, DE 19901. These Terms are governed by Delaware law without regard to conflict-of-laws principles.
11. Fair Play and Support
For a dispute with another league member concerning dues, payouts, or league conduct, contact the league commissioner first. For concerns about your use of the Services, including spending, contact hello@nextdyne.io.
12. Privacy
Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and protect data.
13. Changes to Terms
We may update these Terms. We will provide email or in-app notice at least 30 days before material changes take effect. Continued use after the effective date constitutes acceptance. If you disagree, you may terminate your Account.
14. Miscellaneous
- Severability: If a provision is invalid, the remaining provisions stay in effect.
- No waiver: Failure to enforce a term is not a waiver.
- Assignment: We may assign these Terms; you may not assign them without our consent.
- Entire agreement: These Terms and the incorporated Privacy Policy constitute the agreement concerning the Services.
